Terms of Service

Welcome to Visibility Boosters. These Terms of Service ("Terms") govern your access to and use of our website, platforms, and services. By accessing our services or checking the box indicating acceptance, you agree to be legally bound by these Terms.

1. Acceptance of Terms

By accessing or using Visibility Boosters' services, including by electronic acceptance (checkbox confirmation), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

Electronic acceptance constitutes a legally binding agreement equivalent to a written and signed contract.

If you do not agree to these Terms, you must not use our services.

Visibility Boosters reserves the right to update or modify these Terms at any time. Continued use of services after changes are posted constitutes acceptance of the revised Terms.

2. Services Description

Visibility Boosters provides digital marketing, automation, and AI-powered services, including but not limited to:

• AI Receptionist and Voice AI Solutions

• Business Process Automation

• Search Engine Optimization (SEO)

• Website Design and Development

• Social Media Marketing and Management

• Reputation Management

• Digital Marketing Consulting

Specific deliverables, pricing, timelines, and scope are outlined in proposals, onboarding documentation, or service descriptions.

3. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information

• Respond promptly to approvals and requests

• Grant necessary access to accounts, platforms, and systems

• Ensure ownership or proper licensing of all provided content and data

• Comply with all applicable laws and regulations

• Maintain valid payment methods and pay all fees when due

Failure to meet these responsibilities may result in delays, suspension, or termination.

4. Service Plans, Billing Cycles, and Discounts

Visibility Boosters offers both monthly and discounted annual service plans.

Monthly Plans:

• Billed on a recurring month-to-month basis

• Subject to a minimum thirty (30) days written notice for termination

Annual Plans:

• Billed for a twelve (12) month commitment

• May include discounted pricing, waived or reduced setup fees, promotional credits, or complimentary service months

Early Termination of Annual Plans:

If an annual plan is terminated before the end of its committed term:

• All discounts, waived fees, promotional credits, and complimentary service months are forfeited

• The client agrees to repay the difference between the discounted annual rate and the standard monthly rate for services already rendered

• Any waived setup or onboarding fees become immediately due

• All outstanding balances become payable upon termination

Early termination does not relieve the client of payment obligations incurred prior to termination.

5. Termination, Notice Period, and Off-Boarding

Either party may terminate services by providing thirty (30) days written notice.

The 30-day notice period constitutes an active, billable off-boarding month, during which:

• Services remain accessible unless otherwise suspended

• System wind-down, account deactivation, and data export occur

• Transition and off-boarding support may be provided

The final off-boarding month must be paid in full, regardless of service usage during that period.

Upon termination:

• All outstanding fees, usage-based charges, and off-boarding costs become immediately due

• Data export will be available for up to thirty (30) days following termination

• After the data retention period, Visibility Boosters may permanently delete client data

6. Setup Scope, Support, and Additional Services

General service packages include basic setup only, consisting of:

• Initial platform configuration

• Basic integrations required for core functionality

• Basic workflow and automation build-outs aligned with the agreed onboarding scope

• Up to three (3) one-to-one calls

Standard Support:

• Includes 24/7 chat-based support via Visibility Boosters' standard support channels

• Does not include dedicated account management or live phone support unless otherwise agreed

The following are not included in general packages:

• Advanced or custom automation builds

• Additional workflow creation or revisions

• Additional integrations or system enhancements

• Custom API or advanced logic implementations

• Additional one-to-one calls beyond the included three (3)

All additional automation, workflow, integration work, or one-to-one calls are billed at $150 per hour.

Work outside the included scope requires client acknowledgment before commencement.

7. AI Receptionist & Voice AI Terms

Clients acknowledge that:

• Callers may interact with AI-powered systems

• AI systems may have limitations and do not guarantee accuracy

• Voice and message interactions may be recorded for quality, training, and compliance purposes

• Clients are solely responsible for compliance with privacy, consent, and call-recording laws

• Visibility Boosters is not liable for decisions or outcomes based on AI-generated outputs

8. Additional Usage & Consumption-Based Charges

Certain services include usage-based components billed separately from base service fees.

Usage charges:

• Are calculated based on actual consumption

• Are billed in arrears

• Are charged automatically to the payment method on file

• Are billed in United States Dollars (USD)

• Are non-refundable once incurred

Clients are responsible for monitoring and managing usage levels.

Usage rates may change based on third-party provider pricing and platform costs.

10. Payment Terms

• Base service fees are billed in Canadian Dollars (CAD) unless otherwise stated

• Usage-based charges are billed in United States Dollars (USD)

• Recurring services are billed monthly or annually

• Late or failed payments may result in service suspension or termination

• All sales are final unless otherwise specified

• Unauthorized chargebacks may result in immediate suspension and administrative fees

11. Service Suspension

Visibility Boosters may suspend services immediately if:

• Payments are overdue

• Excessive or abnormal usage occurs

• Required access or information is not provided

• Continued service presents legal, technical, or compliance risk

Suspension does not waive payment obligations.

12. Intellectual Property

• Deliverables remain the property of Visibility Boosters until paid in full

• Upon payment, clients receive a non-transferable license for business use

• Visibility Boosters retains ownership of proprietary systems, processes, and AI technologies

• Work may be showcased in portfolios unless otherwise agreed

13. Confidentiality

Both parties agree to maintain confidentiality of proprietary information.

Confidentiality obligations survive termination.

14. Limitation of Liability

To the maximum extent permitted by law:

• Visibility Boosters is not liable for indirect or consequential damages

• Total liability is limited to fees paid for the affected service

• No specific business, marketing, or performance results are guaranteed

• Third-party outages are not our responsibility

15. Force Majeure

Visibility Boosters is not liable for delays or failures caused by events beyond reasonable control.

16. Dispute Resolution & Governing Law

• Disputes will be resolved through good-faith negotiation

• Unresolved disputes are subject to binding arbitration in Ontario, Canada

• These Terms are governed by Ontario and applicable Canadian federal law

17. Indemnification

Clients agree to indemnify and hold harmless Visibility Boosters from claims arising from misuse of services, violations of law, or provided content.
